Seller Agreement

Introduction :

This Seller Agreement applies to any individual or business ("Seller") approved to sell products on the ShopLocal Business platform, operated by Framz Limited. By registering as a Seller, you agree to comply with this Agreement, the Terms of Service, and the Privacy Policy.

Seller status and independence :

Sellers operate as independent third parties. Framz Limited does not act as a seller, distributor, retailer, or delivery provider and does not take ownership of any listed products.

Seller approval :

All Sellers are subject to manual review prior to approval. Framz Limited reserves the right to suspend or revoke Seller approval at any time for breach of this Agreement or applicable law.

Product listings :

Sellers are solely responsible for the accuracy, legality, pricing, descriptions, images, and availability of their products. Listings must not be misleading or unlawful.

Restricted and age-restricted products :

Sellers must not list illegal or prohibited products.

For age-restricted products (including but not limited to vapes), Sellers confirm that:

  • They are legally permitted to sell such products; and
  • They will comply with all applicable age-verification and delivery ID-check requirements.

Framz Limited may remove or restrict any listing at its discretion.

Orders and fulfilment :

Sellers are responsible for accepting or rejecting orders promptly. If a product is out of stock, the Seller must reject the order, which will automatically trigger a refund to the customer.

Delivery and collection :

Sellers are solely responsible for delivery or customer collection. Framz Limited does not provide delivery services.

For age-restricted products, Sellers must:

  • Verify valid photo ID at delivery;
  • Refuse delivery where ID is not provided or is invalid;
  • Not leave orders unattended or perform "safe drop" deliveries.
Payments, fees, and payouts :
  • Sellers pay a 20% commission on the product price.
  • Delivery fees set by Sellers are passed to them in full.
Legal and tax compliance :

Sellers are solely responsible for compliance with all applicable laws, regulations, licensing, tax, and consumer protection obligations.

Liability and indemnity :

Sellers agree to fully indemnify and hold harmless Framz Limited from any claims, losses, fines, penalties, or disputes arising from:

  • The sale of products;
  • Failure to comply with legal or regulatory obligations;
  • Age-verification or delivery failures.
Suspension and termination :

Framz Limited may suspend or terminate Seller access immediately for breach of this Agreement, legal non-compliance, or risk to the platform.

Governing law :

This Seller Agreement is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
